Terms of Service & End-User License Agreement (EULA)

1. Grant of License

Subject to the terms of this Agreement and payment of applicable annual license fees, TaxClean Technologies South Africa grants your practice or business a revocable, non-exclusive, non-transferable license to install and use the TaxClean ZA Windows desktop application on the number of Windows workstations corresponding to your purchased tier:

• Free Starter Trial: Evaluation on 1 PC for up to 5 complete PDF bank statement conversions.
• Solo Practice License (R 1,199/year): Licensed for 1 Windows workstation with unlimited client profiles and unlimited statement conversions for 365 days.
• Practice Pro License (R 2,999/year): Licensed for up to 3 Windows workstations within the same bookkeeping or accounting practice for 365 days.
• Accounting Firm License (R 6,999/year): Licensed for up to 10 Windows workstations within the same firm for 365 days.

2. Professional Accounting & Tax Disclaimer

TaxClean ZA is an automated data extraction and pre-accounting classification utility designed to assist bookkeepers, accountants, and tax practitioners. While TaxClean ZA applies deterministic rules aligned with the South African Value-Added Tax Act 89 of 1991 (such as flagging Section 11(2) financial fee exemptions and Section 12 zero-rated fuel levies):

• TaxClean ZA does not constitute formal tax advice or replace professional review by a registered Tax Practitioner (SARS), SAIPA, CIBA, or SAICA member.
• Users remain responsible for reviewing exported CSV/XLSX ledgers and verifying final figures prior to importing into Sage Pastel, Sage One, Xero, QuickBooks, or submitting SARS VAT201 returns on eFiling.

3. 14-Day Compatibility Guarantee & Refund Policy

We encourage all practices to test their statements using the Free Starter Trial first. In addition, if you purchase an annual license and TaxClean ZA fails to parse a standard text-based digital PDF bank statement issued by FNB, Capitec, Standard Bank, Nedbank, or Absa, notify sales@taxcleanza.com within 14 calendar days of purchase. If our engineering team cannot resolve the layout issue within 48 business hours, we will issue a 100% refund via EFT.

4. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising hereunder shall be subject to the jurisdiction of the courts of Gauteng, South Africa.
